1. Introduction
These Terms and Conditions (“Terms”) govern the use of services provided by FluxAds (“Company”, “we”, “our”).
FluxAds provides online advertising and media buying services, including campaign planning, placement of advertising materials, campaign management, and performance tracking.
By engaging our services, you (“Client”) agree to these Terms.
2. Nature of Services
FluxAds acts as an advertising contractor and media buying agency.
Our services include:
- media planning
- placement of advertising materials
- campaign execution across online platforms (including Facebook / Meta)
- monitoring and data collection
- performance reporting
Advertising campaigns may be structured on:
- PPC (Pay-Per-Click)
- PPR (Pay-Per-Registration)
- PPA (Pay-Per-Action)
Specific campaign terms are defined in media plans, insertion orders, or separate agreements.
3. Advertising Materials
3.1 Provision of Materials
The Client shall provide all advertising materials, including creatives, landing pages, and related content, in a timely manner and in the required technical formats.
3.2 Compliance
All materials must comply with applicable laws and platform policies.
FluxAds reserves the right to reject or suspend the use of any materials that are unlawful, misleading, or non-compliant.
4. Campaign Execution
Campaign parameters, including placements, formats, and budgets, are defined in agreed media plans or instructions.
FluxAds executes campaigns based on provided specifications. Timelines may be adjusted due to delays in materials or platform-related restrictions.
5. Facebook / Meta Advertising
5.1 Scope
FluxAds manages advertising campaigns on Meta platforms (including Facebook and Instagram) on behalf of the Client.
5.2 Third-Party Platform
Meta is a third-party platform. FluxAds does not control its policies, decisions, or systems.
5.3 No Guarantees
FluxAds does not guarantee:
- approval of advertisements
- continuity of advertising accounts
- specific performance result
5.4 Account Risks
The Client acknowledges that advertising accounts may be restricted, suspended, or permanently disabled by Meta at any time.
FluxAds is not responsible for:
- account bans or restrictions
- disabled business managers
- loss of data, campaigns, or accounts
5.5 Responsibility
The Client is solely responsible for:
- advertised products and services
- claims made in advertisements
- compliance with Meta policies and applicable laws
5.6 Prohibited Practices
The Client must not use or request:
- misleading or deceptive advertising
- fake testimonials or false claims
- cloaking or hidden redirects
- promotion of prohibited or restricted products without approval
FluxAds reserves the right to immediately suspend or terminate campaigns in case of violations.
6. Reporting
FluxAds provides periodic reports on campaign performance.
Reports may include data such as:
- impressions
- clicks
- conversions
- registrations
Platform statistics are considered the primary source of performance data.
7. Payments
All fees, including service fees and advertising budgets, are defined in applicable agreements, media plans, or invoices.
8. Acceptance of Services
Services are deemed accepted unless the Client provides written objections within a reasonable time after receiving reports or results.
9. Limitation of Liability
FluxAds shall not be liable for:
- advertising performance or results
- loss of profits or revenue
- actions taken by third-party platforms (including Meta)
- account bans or ad disapprovals
Total liability of FluxAds shall not exceed the amount paid by the Client for the relevant services.
10. Indemnification
The Client agrees to indemnify and hold harmless FluxAds from any claims, damages, or liabilities arising from:
- advertising content
- promoted products or services
- violation of laws or third-party policies
11. Suspension and Termination
FluxAds may suspend or terminate services if:
- the Client violates these Terms
- materials are non-compliant
- payments are not made
Either party may terminate cooperation with prior notice, subject to settlement of all outstanding obligations.
12. Force Majeure
Neither party shall be liable for failure or delay caused by events beyond reasonable control, including but not limited to platform outages, technical failures, legal restrictions, or actions of third-party services.
13. Confidentiality
All information related to campaigns, strategies, and business operations shall be treated as confidential and shall not be disclosed without consent.
14. Governing Law
These Terms shall be governed by the laws of Hong Kong.
